Organiser Agreement

Terms applicable to organisers who list events for sale on NoReplay. Forms part of the Terms of Service for any account that activates organiser features.

01Scope

This agreement applies when you ("Organiser") use NoReplay to list, sell, transfer or settle tickets for an event. By activating organiser features on your account or by accepting an invitation to manage an event, you accept this agreement in addition to the Terms of Service and the Acceptable Use Policy.

02Listing your event

You must list events you have the legal right to sell tickets for, with accurate information about the event, venue, line-up, on-sale dates, capacities, age restrictions and refund window. Misleading listings are grounds for delisting and may trigger automatic full refunds to attendees.

You set tier prices and the platform-fee mode (absorb or pass-through). NoReplay renders the buyer-facing breakdown so the price the attendee sees matches the price they pay, with no hidden surcharges.

03Fees

NoReplay charges a default platform fee of 10% of face value on each successful sale (primary or resale). The exact fee for an event is shown on your event settings page; we may adjust the default by category or by negotiation but we will never increase a per-event fee retroactively for tickets already sold.

Payment-processing fees charged by Safaricom (M-Pesa) and Peach Payments (card) are passed through at cost. VAT on the platform fee, where applicable, is added at the prevailing rate.

04Payouts

Net proceeds (face value minus platform fee minus refunds and chargebacks) are paid to the organiser's nominated payout account on the schedule shown on the finance dashboard. Default schedule is weekly for events in good standing, with a holdback for events whose date is more than 14 days away.

We may withhold or claw back payouts where: (a) refund liability exceeds the outstanding balance, (b) chargebacks are pending, (c) we have reasonable suspicion of fraud, or (d) the organiser is in breach of this agreement. Withheld funds are released as soon as the underlying issue is resolved.

05Refunds & cancellations

Organisers must honour the Refund Policy. The policy applies as a floor; you may grant more generous refunds at any time. Refunds granted in the partial window are funded from the gross sale price; the platform fee is not refunded on partial refunds.

Event cancellations require a full refund to all ticket holders, including the platform fee, except in cases of force majeure where we will work with you on a reasonable rescheduling/credit option subject to attendee consent.

06Attendee data & processing

Attendee data made available to you (e.g. name, email, ticket tier, attended status) is shared subject to the Data Processing Addendum. You are the data controller for that data; NoReplay is the processor. You must use the data only to deliver the event for which it was collected and to comply with legal obligations.

07Compliance & tax

You are responsible for collecting and remitting any applicable taxes (VAT, excise, withholding) on ticket sales, and for any licensing or permitting required for the event. NoReplay collects and reports VAT on its platform fee and produces invoices/receipts that meet KRA requirements; you remain responsible for the underlying sale's compliance.

08Liability & indemnity

You indemnify NoReplay against claims arising from: (a) the event itself, including injury, property damage, or breach of admission terms; (b) misleading or unlawful event listings; (c) misuse of attendee data; (d) breach of this agreement.

NoReplay's liability to the organiser is capped at the platform fees we received from your events in the 12 months preceding a claim, except for liability that cannot be excluded under applicable law.

09Termination

Either party may terminate this agreement on 30 days' notice. We may terminate immediately for breach (including attendee-safety concerns), in which case we reserve the right to honour outstanding tickets through to the event and to settle remaining payouts on completion.
